Jacquelyn Ruffin concentrates her practice in the areas of business, real estate and public agency law.
Ms. Ruffin’s business practice encompasses numerous transactional matters. For example, she provides advice regarding business formation and dissolution; drafts governing documents, buy-sell agreements, and operating agreements; represents clients in the purchase and sale of their businesses; counsels clients about board member responsibilities; and prepares various third party contracts (e.g., consultant contracts, service contracts).
In her real estate practice, Ms. Ruffin has represented clients in the acquisition and disposition of improved and unimproved properties, including several multimillion dollar deals. She advises clients from the letter of intent, throughout escrow (including title review and other due diligence matters), and post-closing as needed. She regularly drafts complex contracts (including purchase and sale agreements, development agreements, and construction contracts) and assists clients in complying with various state and local land use laws.
Ms. Ruffin is also general counsel and special counsel to several public agencies. For example, she is helping a local public agency with several general obligation bond projects, including projects related to the acquisition of real property, construction of new buildings, and renovation of existing buildings. She also advises public entity clients in matters related to the Brown Act, Public Records Act, the Political Reform Act and other laws pertaining to conflicts of interest, and statements of investment policy.
Prior to law school, she gained over a decade of experience in the nonprofit sector, including working with schools and youth programs in the Bay Area; serving with the AmeriCorps national service program in the Bay Area; working with the United Nations Development Fund for Women in West Africa and The Hague, Netherlands; and serving as a regional board member with Just Communities Central Coast, where received a Certificate of Special Congressional Recognition for her community service work.
